1. Acceptance of Terms
By accessing or using IdeaJam, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.

2. Overview
IdeaJam provides a platform for coaches, experts, and professionals ("Experts") to deliver coaching, workshops, events, and courses to clients ("Participants"). Both Experts and Participants are users of the platform.

3. Account Registration
You must be at least 18 years old to register. You agree to provide accurate, current, and complete information and maintain the security of your account.

4. Privacy Policy
Your use of IdeaJam is also governed by our Privacy Policy, which outlines how we collect, use, and safeguard your data.

5. Service Use
IdeaJam provides the infrastructure but does not control, endorse, or guarantee the quality of services provided by Experts. Participants are responsible for their own decisions.

6. Payments and Fees
Fees are set by Experts. Payments are processed via Stripe or other third-party processors. IdeaJam retains a service fee as disclosed during the transaction process.
7. Intellectual Property
IP Ownership Framework Between IdeaJam and Coach Experts
A. Coach Expert IP — Fully Owned by the Coach
The following elements are the exclusive intellectual property of the Coach Expert. IdeaJam acknowledges no ownership claims over these assets beyond licensed use within the platform:

The Coach’s personal likeness, including name, image, photo, and voice.

The Coach’s biography, credentials, and professional background.

The Coach’s original IP, including proprietary frameworks, coaching methodologies, tools, and resources they bring to the platform.

Any live sessions, written content, or personalized coaching outputs created by the Coach outside automated system prompts.

B. IdeaJam-Owned Platform Assets
IdeaJam retains ownership of all platform-generated assets, systems, and derivative functions that enable or enhance the Coach’s presence on the platform, including:

The AI-generated Digital Twin or Avatar, including its conversational structure, system prompts, visual presentation (excluding the Coach’s personal likeness), and technical functions.

The Conversation Library, which includes curated prompts, dialogues, and response flows used by the Avatar — separate from proprietary IP contributed by the Coach.

All AI-driven infrastructure, including the multi-chat interface, automated scheduling, expert recommendation algorithms, and conversation traffic data (excluding private session content).

Any synthetic or stock Avatar versions (e.g., generic AI coaches or template advisors) built by IdeaJam not based on a specific Coach's likeness.

C. Shared or Licensed Use
The relationship is structured as a mutual license agreement:
Coaches grant IdeaJam a non-exclusive, revocable license to display their name, likeness, and professional background within the IdeaJam system for as long as they participate.

IdeaJam grants Coaches the ability to leverage their Avatar for client engagement and referrals through the platform, while IdeaJam retains control over platform mechanics and derived system improvements.
D. Clarifications & Protections

If an AI Avatar is explicitly modeled after the Coach’s image, voice, or personality traits, ownership of the likeness component remains with the Coach; IdeaJam owns the technical framework enabling the Avatar.

Coaches may opt out or deactivate their Avatar at any time, at which point IdeaJam ceases displaying their likeness or materials but retains system architecture, templates, and anonymized engagement data.

Co-created IP, where a Coach contributes directly to platform development (e.g., building prompts or training models beyond their personal Avatar), may be subject to negotiated co-ownership or licensing terms.

8. User Conduct
Users must not post unlawful, defamatory, or harmful content. Spamming and misuse of the platform are strictly prohibited.

9. Termination
We may suspend or terminate your account at our discretion. Users may also cancel their accounts at any time.

10. Disclaimers and Limitation of Liability
Services are provided "as is." IdeaJam disclaims all warranties and limits liability to the fullest extent permitted by law.

11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts. Disputes will be resolved via arbitration in Boston, MA.
Privacy Policy

Communication Data: All chat conversations and messages exchanged on the IdeaJam platform are collected and stored by IdeaJam and are considered proprietary data of IdeaJam.
2. How We Use Your Information
To provide and improve services, process payments, communicate updates, and for legal compliance. Chat conversations may be reviewed internally for quality assurance, dispute resolution, and platform enhancements.

3. Sharing of Information
We share information with trusted partners (like payment processors) and as required by law. We do not sell your personal data.

4. Cookies and Tracking
We use cookies to enhance user experience. You can disable cookies in your browser settings.

5. Your Rights
You can update or delete your personal data by contacting us.

We implement appropriate measures to safeguard your data but cannot guarantee absolute security.

Statement of Responsibilities –
IdeaJam and Expert
Purpose
This Statement sets out the mutual responsibilities between IdeaJam and Experts offering services on the platform.

IdeaJam Responsibilities:

Provide and maintain the IdeaJam platform.

Manage user accounts, payments, and support services.

Protect the confidentiality of Expert content and client data.

Retain ownership of all chat conversations and related data exchanged through the IdeaJam platform, to be used in accordance with the platform’s Privacy Policy.
Expert Responsibilities:

Maintain an up-to-date profile.

Deliver reliable, ethical, and professional coaching/training.

Abide by confidentiality standards and legal requirements.

Set service fees and manage client relationships professionally.
Confidentiality
Experts must follow strict confidentiality norms in line with industry standards but acknowledge that IdeaJam may be compelled to disclose information by law and retain ownership of all chat communications on the platform.

Liability
Each party limits liability to the extent permitted by law. No guarantees are made regarding service outcomes.
​
Termination
Either party may terminate participation with 30 days’ notice.

Dispute Resolution
Disputes are governed by Massachusetts law and resolved through arbitration in Boston, MA.
